Terms of service
These terms govern your use of VideoCliper. They include important rules about uploaded media, AI-generated output, payment, storage, deletion, and limits on responsibility.

Agreement to these terms
These Terms of Service ("Terms") form a binding agreement between you and VideoCliper ("VideoCliper," "we," "us," or "our") concerning the VideoCliper websites, applications, APIs, editors, processing tools, and related services (the "Service").
By creating an account, checking the acceptance box, purchasing a plan, uploading content, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Eligibility and accounts
You must be at least 13 years old to use the Service. If you have not reached the age of legal majority where you live, a parent or legal guardian must review and accept these Terms for you and supervise your use. You may not use the Service if applicable law prohibits you from doing so.
You must provide accurate account information, keep credentials confidential, and promptly notify us of unauthorized access. You are responsible for activity performed through your account unless applicable law says otherwise. Accounts may not be sold, transferred, or shared in a way that bypasses plan or usage limits.
The Service and changes
VideoCliper provides tools that may upload, transcribe, analyze, caption, edit, render, store, and export video and audio. Some functionality is experimental, beta, automated, or dependent on third-party infrastructure.
We may add, change, suspend, limit, or discontinue features; impose reasonable technical, storage, file-size, duration, rate, or usage limits; and perform maintenance. We will provide notice of material adverse changes when reasonably practicable or legally required.
Your content and permissions
You retain the ownership rights you already have in videos, audio, captions, fonts, images, prompts, and other material you submit to the Service ("User Content"). These Terms do not transfer ownership of your User Content to us.
You grant VideoCliper and its service providers a worldwide, non-exclusive, limited license to host, copy, transmit, modify, transcode, transcribe, analyze, render, display, and otherwise process User Content only as reasonably necessary to operate, secure, improve, and provide the Service; comply with your instructions; and meet legal obligations. This license ends when the content is deleted from our systems, except for residual backups, legal retention, and content you intentionally made public or shared with others.
You represent that you own User Content or have every permission, consent, notice, and lawful basis necessary to upload and process it, including rights relating to copyright, music, trademarks, publicity, privacy, voice, likeness, personal data, and confidential information. You are solely responsible for User Content and for how you publish or use output.
Storage, backup, and deletion
VideoCliper is not a backup or archival service
Content can be deleted, made inaccessible, or lost because of your actions, account deletion, plan or storage limits, inactivity, moderation, payment failure, termination, legal requirements, provider outages, corruption, software or hardware failure, or discontinuation of a feature or the Service. We may establish or change retention periods and may remove content after reasonable notice when practicable; urgent legal, security, or abuse situations may require removal without advance notice.
Deletion requests and project deletion may be irreversible. Removal from active systems, caches, processors, and backups can take time, and limited records may remain where required for security, billing, fraud prevention, dispute resolution, or law.
To the maximum extent permitted by law, VideoCliper is not responsible for the loss, corruption, deletion, alteration, disclosure, or inability to retrieve User Content. This does not limit responsibility that cannot lawfully be excluded. Your primary remedy for a storage failure is to stop using the Service and restore content from your own copy.
Acceptable use
You must not use the Service to:
- violate law, regulation, court order, sanctions, or another person's rights;
- upload content you do not have permission to process, including infringing media or unlawfully obtained personal information;
- create or distribute child sexual abuse material, non-consensual intimate imagery, credible threats, unlawful harassment, exploitation, or content that facilitates serious harm;
- impersonate a person, deceive viewers about materially manipulated media, or violate publicity, privacy, or voice rights;
- introduce malware, probe or bypass security, overload infrastructure, scrape protected areas, reverse engineer restricted portions, or interfere with another user;
- resell, sublicense, or provide unauthorized access to the Service, or evade credits, billing, rate limits, or access controls;
- use output as a substitute for qualified legal, medical, financial, or other professional advice or as the sole basis for a high-impact decision about a person.
We may investigate suspected violations and remove content, restrict functionality, preserve evidence, or cooperate with lawful authorities. Reporting or removal does not mean we assume responsibility for monitoring all content.
Transcription, AI, and generated output
The Service uses automated systems and third-party models. Transcripts, captions, suggested clips, scores, titles, translations, and other generated material ("Output") may be inaccurate, incomplete, offensive, unavailable, or similar to output created for others. Timing and transcription can vary by audio quality, language, speaker, and provider.
You must review Output and confirm that you have the rights and permissions required before publishing or relying on it. We do not promise that Output is unique, copyrightable, non-infringing, factually correct, or suitable for a particular purpose. As between you and VideoCliper, and to the extent allowed by law, you may use Output generated for you subject to these Terms and any rights held by others.
Plans, payments, credits, and taxes
Prices, included usage, storage, credits, renewal periods, and feature limits are shown at purchase or in your account. Payments may be processed by third-party providers such as Khalti. You authorize the applicable charges and are responsible for taxes, bank charges, and accurate billing information.
Unless stated otherwise at purchase or required by law, payments and consumed credits are non-refundable, credits have no cash value, and credits cannot be transferred or resold. Failed or reversed payments may result in restricted access or suspension. We may change future pricing or plan features with notice; changes do not retroactively alter a completed purchase.
VideoCliper intellectual property
The Service, software, interface, branding, documentation, templates, and underlying technology are owned by VideoCliper or its licensors and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose.
If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly without permission.
Copyright or rights complaints should identify the protected work, the disputed material and location, your contact details, your good-faith basis, and a statement that the information is accurate. Send complaints to sales@videocliper.com.
Third-party services
The Service depends on or links to third-party services, including cloud, transcription, AI, authentication, analytics, payment, and distribution providers. Their services and terms may change or become unavailable. We do not control third-party sites or services and are not responsible for their independent acts, content, policies, outages, or security, except where applicable law provides otherwise.
Suspension and termination
You may stop using the Service at any time and may request account deletion. Payment obligations and charges already incurred remain due.
We may suspend or terminate access, remove content, or limit processing if we reasonably believe you violated these Terms, created legal or security risk, failed to pay, abused the Service, or if continued operation is no longer commercially or technically feasible. Where appropriate, we will provide notice and a chance to export content, but we are not required to do so in urgent safety, legal, fraud, or security cases.
Sections that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limitations, indemnity, dispute terms, and residual storage provisions—will survive.
Service disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." VideoCliper disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.
We do not warrant that uploads, processing, storage, downloads, captions, Output, or integrations will complete successfully; that defects or security incidents will never occur; or that content will remain available for any period. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, VideoCliper and its owners, personnel, affiliates, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, business, opportunities, goodwill, or data; content loss or deletion; service interruption; unauthorized access; Output errors; or the cost of substitute services, arising from or related to the Service, even if advised that such harm was possible.
To the maximum extent permitted by law, the total aggregate liability of VideoCliper for all claims arising from or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid VideoCliper for the Service during the 12 months before the event giving rise to the claim or (b) USD 100.
These limitations do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law does not allow us to limit. Some jurisdictions do not permit certain exclusions, so portions of this section may not apply to you.
Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless VideoCliper and its personnel, affiliates, and providers from third-party claims, losses, liabilities, damages, judgments, and reasonable costs arising from your User Content, your use or misuse of the Service, your publication or use of Output, your violation of these Terms, or your violation of another person's rights. We will give reasonable notice of a covered claim and may control its defense and settlement.
Governing law and disputes
These Terms are governed by the laws of Nepal, without regard to conflict-of-law principles. Before filing a formal claim, you and VideoCliper agree to make a good-faith effort for 30 days to resolve the dispute by contacting the other party and describing the issue and requested resolution.
Unless applicable consumer law gives you the right to bring a claim elsewhere, the courts located in Kathmandu, Nepal will have exclusive jurisdiction over disputes arising from these Terms or the Service. Nothing prevents either party from seeking urgent injunctive relief or using an eligible small-claims procedure.
Changes, notices, and general terms
We may update these Terms for legal, security, provider, or product changes. We will post the updated version, revise the date above, and provide additional notice when required. If a material change adversely affects existing paid use, it will apply from the stated effective date. Continued use after that date means you accept the revised Terms.
If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a business transfer or by operation of law. These Terms and incorporated notices are the entire agreement concerning the Service and supersede prior discussions about it.
